Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and [Company Legal Name]("UnitFlow," "we," "us"), governing your access to and use of the UnitFlow property management platform, including our website, dashboard, tenant portal, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Who Can Use UnitFlow

You must be at least 18 years old and able to form a binding contract to create an account. UnitFlow is offered in two primary roles:

  • Landlords / Property Managers — the paying customers who manage properties, tenants, leases, and payments through UnitFlow.
  • Tenants — individuals invited by a Landlord to a limited-access portal to view their lease, pay rent, and submit maintenance requests.

You are responsible for the accuracy of the information you provide and for all activity under your account. Keep your login credentials confidential.

3. Subscriptions, Trials, and Billing

  • New Landlord accounts start with a free trial period. No credit card is required to start a trial.
  • After the trial ends, continued access to paid features requires an active paid subscription, billed monthly or annually (your choice) through our payment processor (Stripe).
  • Subscriptions renew automatically each billing period until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
  • Fees are non-refundable except where required by law or expressly stated otherwise.
  • We may change our pricing with advance notice; continued use after a price change takes effect constitutes acceptance of the new pricing.

4. Rent Payments and Third-Party Processors

UnitFlow is a software tool, not a bank, money transmitter, or party to any lease. Where a Landlord enables online rent collection, payments are processed directly between the Tenant and the Landlord's own connected account with our payment processor (Stripe), and settle to the Landlord's own bank account. UnitFlow does not hold, custody, or guarantee any funds, and is not responsible for payment disputes, chargebacks, refunds, or the accuracy of amounts a Landlord records as paid or due. Landlords and Tenants remain solely responsible for the terms of their own lease and financial arrangements with each other.

5. Electronic Signatures and Records

UnitFlow allows Landlords to send lease documents for electronic signature through a third-party e-signature provider. By choosing to sign a document electronically, you consent to the use of electronic records and signatures in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state law (including UETA). You may withdraw consent to electronic signature for a specific document before signing it by declining through the provider's signing interface and requesting a paper alternative from your Landlord. UnitFlow does not review, draft, or guarantee the legal sufficiency of any lease or document sent through the Service — Landlords are responsible for ensuring their lease terms comply with the laws of the jurisdiction where the property is located.

6. Landlord Responsibility for Tenant Data

When a Landlord enters or uploads information about a Tenant (contact details, application and screening answers, payment history, lease documents), the Landlord is the data controller for that information and is responsible for having a lawful basis to collect and share it, and for complying with applicable fair housing, tenant screening, and data protection laws. UnitFlow acts as a data processor, storing and displaying that information solely to provide the Service as directed by the Landlord.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose, including violating fair housing or tenant-protection laws;
  • Upload content that is fraudulent, defamatory, or infringes another person's rights;
  • Attempt to access another user's account or data without authorization;
  • Reverse engineer, scrape, or interfere with the Service's normal operation;
  • Use the Service to send spam or unsolicited communications.

8. Third-Party Services

The Service integrates with third-party providers (including Stripe for payments, Resend for email delivery, DocuSign for e-signature, and Google Maps for address lookup). Your use of those integrations may also be subject to that provider's own terms.

9. Intellectual Property

UnitFlow and its licensors own all rights in the Service, including its software, design, and branding. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription. You retain ownership of the property, tenant, and financial data you upload ("Your Data"), and grant us a license to host, process, and display Your Data solely to provide the Service to you.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY FINANCIAL, LEGAL, OR TAX INFORMATION GENERATED BY THE SERVICE (INCLUDING REPORTS) IS ACCURATE OR SUITABLE FOR FILING OR COMPLIANCE PURPOSES WITHOUT INDEPENDENT REVIEW.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [COMPANY LEGAL NAME] SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, RENTS, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service, with reasonable notice where practicable. Upon termination, we will make Your Data available for export for a limited period as described in our Privacy Policy, after which it may be deleted.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of [State], United States, without regard to conflict-of-law principles, unless a different jurisdiction is required by applicable consumer protection law.
